Position Description:
Morgan Stanley & Co. LLC. seeks Vice President, Investment Banking, Technology Group in Menlo Park, CA to originate deals, pitch ideas, and advise clients in the global technology marketplace, across a range of technology disciplines including emerging, well-established and post-bankruptcy semiconductor companies in connection with the structuring and execution of corporate finance transactions. Lead client discussions on valuations, structuring, and diligence across M&A and financing transactions. Structure, evaluate and advise on a variety of complex domestic and international transactions such as mergers, acquisitions, divestitures, joint ventures, unsolicited defense, hostile offers, proxy contests, restructurings, strategic partnerships, public and private debt placements, share repurchases, spin-offs, exchange offers, leveraged buyouts, and leveraged capitalization transactions. Assess capital structure alternatives, cost of capital implications, restructuring strategies, and valuation enhancing alternatives for technology clients. Review accounting statements and assess tax implications. Review valuation models including comparable company analysis, discounted cash flow and discounted equity value analysis, and comparable acquisitions analysis. Confer on strategies and goals as well as develop and deliver presentations and proposals in connection with capital raising and M&A transactions including cross-border transactions involving US clients (e.g. public offerings, private placements, financial planning, rating agency presentations, mergers, acquisitions, divestitures, joint ventures). Oversee project teams, create project timelines and workplans, allocating Associate and Analyst responsibilities that entail economic and financial analysis, due diligence and valuation. Lead idea generation and content creation through discussions with internal team as well as by coordinating and liaising with different product and industry groups of the bank. Keep current on industry trends and developments as it relates to the technology sector by attending equity research meetings and industry conferences. Participate in business development initiatives including marketing the firm's advisory services to corporate clients and initiate new banking relationships. Lead transaction diligence, valuation, structuring and investor positioning discussions. Mentor and supervise junior team members (analysts and associates), train them on various transaction responsibilities and take an active role in their development.


Skills Required:
Master's degree in Business Administration, Finance, Economics, or related field or equivalent, and three (3) years of experience structuring financing solutions/products on behalf of a global financial services institution. Two (2) years of the three (3) years of experience must include advising and interfacing directly with clients in the technology industry in connection with domestic and cross-border investment banking and M&A transactions with a focus on semi conductor companies; performing financial modeling and valuation analysis including discounted cash flow and discounted equity value analysis using financial accounting principles; participating in end-to-end deal origination and execution; managing client relationships and training analysts on the analysis and execution of corporate finance transactions.
